My Collaboration Agreement

Addendum: This post is now superseded by my Kindle Worlds terms. I am no longer collaborating under the terms of this post, but please check out my website for details on how to write in my universe.

So this is what my lawyer and I came up with re: an agreement between me and any potential collaborator. For those hearing this for the first time, I have allowed anyone to utilize the universe I have created (my characters, settings, plot lines, and ideas) and write within it and then split the profits with me. Details here.

This is the outline for the eventual contract that any collaborator and I will sign. I'd like to hear any concerns in the comments.

Collaboration Agreement

1) Parties
a) Joe Konrath (Joe)
b) Author

2) Work
a) Preliminary title and brief description of the planned book or books

3) Collaboration
a) Joe and the Author will collaborate to create the Work as described herein.
b) Author has created a manuscript utilizing the characters and settings of Joe’s novels
i) List of novels in Exhibit A
c) Joe grants Author a terminable license to utilize Joe’s characters and settings to create new works under the terms of this Agreement.
d) The Work must be approved by Joe prior to publication.
e) Joe will have final editorial control over the Work, including control over how his characters and settings are depicted and continuity control for story and character arcs.

4) Author Credit
a) Joe and Author will each be named as an author of the Work wherever the authors are identified in the Work and in publicity and promotion materials created to promote the Work.
i) Author’s name will be depicted in the same manner as Joe’s, alphabetically.

5) Copyright
a) The copyright for the Work will be registered in the name of Joe and Author.

6) Publication
a) Joe will pay all costs of publishing the Work.
i) Cover
(1) Joe will consult with Author concerning cover design but Joe will have final authority to determine and approve the cover design.
ii) Editing, Proofing, Formatting
b) Author will consult Joe concerning marketing, advertising and promotion of the Work, but will have final authority to determine all marketing, advertising and promotion. Joe and Author will split all costs of marketing, advertising and promotion if any costs are incurred.
i) Nothing in this paragraph will prevent Author from personally marketing the Work.

7) Royalties
a) Joe’s Manager
i) Joe and Author jointly appoint Jane Dystel (“Manager”) as the accounting manager of the proceeds received from the sale of the Work.
ii) Manager shall collect all proceeds received from the sale of the Work.
iii) Manager shall receive a commission of 10% of the proceeds received from the sale of the Work.
b) After deduction of the Manager’s fee, the balance of the proceeds shall be divided equally between Joe and Author.
c) Royalties shall be paid by the Manager on a monthly basis within 30 days of receipt of sales proceeds.
d) Each royalty payment to Author shall be accompanied by a royalty statement prepared by Manager detailing all proceeds received.
e) Author may request additional details concerning the sales of the Work from Manager.

8) Subsidiary Rights
a) Author may attempt to license, sell or otherwise exploit subsidiary rights to the Work.
b) No subsidiary rights will be licensed, sold, or otherwise exploited without the written consent of both Joe and Author.

9) Termination
a) Either party may terminate this Agreement upon written notice to the other.
b) Consequences of Termination
i) The Work will be removed from publication as soon as practicable, subject to rights of electronic bookstores to retain copies to replace lost ebooks previously purchased by readers, and any outstanding subsidiary rights contracts.
ii) Author shall have no further rights to utilize Joe’s characters or settings in any book or story.
iii) Joe shall be the sole owner of any editorial changes or additions he made to the Work and Author shall not utilize any materials.
iv) Author shall be the sole owner of the material included in the Work in the form in which it was first submitted to Joe for review excluding the names of any of Joe’s characters.

10) Liability for Claims of Third Parties
a) Each party warrants:
i) That he/she is the sole author of his/her contribution to the Work;
ii) That his/her contribution is an original work of fiction;
iii) That his/her contribution does not violate a copyright or trademark of any person or entity;
iv) That nothing in his/her contribution depicts a real person, living or dead;
v) That nothing in his/her contribution constitutes defamation, invasion of privacy, misappropriation of identity, intrusion into privacy or publication of private facts or depicts any person, living or dead, in a false light or otherwise provides a basis for a claim that publication of the Work has caused damage to any person or entity.
b) In the event of a claim of any person or entity arising from either party’s contribution to the Work occurs, the party creating the contribution shall pay all costs and damages arising from such claim, including, without limitation, the other party’s reasonable attorneys’ fees.
c) The warranties and obligations to pay costs arising from claims of third parties shall survive the termination of this Agreement.

11) Arbitration
a) In the event of any disagreement or dispute between the parties arising from this Agreement or the activities contemplated thereby, the parties agree that such disagreement or dispute shall be subject to binding arbitration.

Joe sez: I think my lawyer hit all the main points. I'd add 6) c) Author has full say in how/where the Work is released, including price, platforms, and sale price.

I want the co-writer to not only have the ability to leave whenever they'd like, but also the power to decide how much to sell the work for, where to sell the work online, and when to discount the work (if ever).

So what about this agreement outline doesn't work? I want to hear from people about things I may have missed.

I Have Seen the Enemy

I have seen the enemy, and it is me.

A few weeks ago I wrote a blog post explaining how I was willing to franchise my intellectual properties. In short:

1. Test out new writers by having them do a Jack Daniels short story, teaming Jack up with a character from their series.

2. The writer writes the story, without input from me. If my wife likes it (she's my first reader and knows my universe better than I do), I'll do the rewrite and editing, pay for the cover art and proofing and formatting, and then publish the story through my agent, Jane Dystel. Jane will pay us monthly and provide royalty statements. She'll also seek out interest in audio and foreign rights.

The author and I split the profits 50/50, and then do the same thing with a novel (novels sell much better than shorts.)

3. If my wife doesn't like the story, the writer can self-publish it without me, changing the names of my characters. So Jack Daniels would become some other female cop, and the writer would have full rights to the story.

I've gotten over twenty stories in response. 

And I've rejected roughly half of them.

And I hate it.

I know what rejection feels like. I've been rejected over 500 times. And many of those rejections were for books that went on to make me rich, so I know that the gatekeepers were indeed wrong.

Now I'm the guy saying, "Thanks for the submission, but it's not for us" and it makes me feel shitty. I also may be wrong, passing up some good stories. In fact, I hope I am wrong.

If I rejected you, here's the best revenge: self-publish the story and get rich and famous with it. Then you'll be happy you didn't have to share any royalties with me. And I truly hope you do get rich and famous.

That said, it makes me wince when I send a rejection email. Especially since some of them were close calls.

Here's the deal with close calls: A close call means I have to put in more time on the rewrite, and I simply don't have time to do that. That's why I said, in my original blog post, to send your best work the first time, because there will be no resubmitting the same story to me. 

I'm not a publishing house. I can't spend a lot of time turning every story I get into something I think my fans will like. As it stands, I'm putting in lots of hours on the stories I got that I loved. I can't put in even more hours on the stories I only like.

So I feel like a bully and a jerk, and maybe I am, and maybe I'm dead wrong, but it is what it is.

For the record, a lot (not all) of the rejections fall into one of these categories:

1. Not enough of my IP/characters are in the story. They seem added as an afterthought, or just so they're part of my universe. 70% your characters and 30% my characters won't work. Readers are going to buy these stories to read my characters. If the story is all about someone they don't recognize, the reader is going to write bad reviews. 

Joe's advice: Try to make it at least 60/40. Better still is 50/50. I've also gotten a few that were 100% my IP, and I accepted them.

2. I don't think it'll work replacing a character from one of your older works with Jack Daniels. It might, but my hopes aren't high. If Jack Daniels was such a sterotypical character that a simple Find and Replace could turn any cop story into a Jack Daniels story, then my writing sucks worse than I fear it does.

Joe's advice: I think I write unique books, with humor, scares, charm, and memorable, idiosyncratic, unique characters. If you want to be a part of this program, read as many of my books and stories as you can, and start from scratch. Don't cut and paste.

3. Pay attention to my style. I write from various POVs, using a particular tone. I have plenty of action and dialog. There is plenty of white space on every page, and not much description. I use a lot of suspense, and humor, and twists. 

Joe's advice: If you wrote KILLING TIME by Lee Child and instead had Jack Daniels as the hero, I'd reject it. Lee's a great writer, and that's a great book, but that isn't how I write or the kind of book I write. Jack Daniels is not Jack Reacher. Ditto if you write like Evanovich, or Grafton, or Patterson (thank you everyone for not sending me a 20 page story with 65 chapters), or Clancy. Please don't attempt to write one of my IPs unless you not only have read it, but are a fan of it and understand my tone. I'm not simply searching for good writers. I'm searching for good writers who can write like me.

I will say this: I've worked with some terrific writers, but no one can write my character Harry McGlade like I can. It's okay to use Harry in a story and then put (JOE PUT A HARRY LINE HERE) instead of trying to write it yourself. But if you do that fifty times, maybe it would have been better just to leave Harry out of the story. 
   
To wrap up this blog entry, I'm surprised to see I've become the very thing I hate: a gatekeeper. And it gives me a little more respect for the gatekeepers, because it isn't pleasant rejecting someone.

But I'm not a publisher, or an agent. I'm a writer who has made over a million bucks writing these stories, and has accrued a nice-sized fanbase, and is willing to share that fanbase with other writers so we both make money. 

And to that end, I should have the collaboration agreement from my lawyer soon, and I'll blog about it to get feedback.

GRANDMA? by JA Konrath and Talon Konrath

For most of my life, I knew I was going to be a writer.

But I didn't know my fifteen-year-old son wanted to be a writer. Not until I saw him working on a story. It wasn't for school. He was writing it just because he felt like it. And he didn't even tell me about it.

Naturally, I asked to read it, and it made me laugh out loud. It needed some work, so I gave him some tips, and when he incorporated those I thought it was actually good enough to be published.

So I did a rewrite, fleshing out the story, adding some jokes, ramping up the suspense.

The result is the first part of a YA serial novel called GRANDMA?

It's Talon's story, characters, and scenes, embellished by Dad.

And it's now available for 99 cents on Amazon.

It was fun writing about zombies, and fun writing with my son. We're hoping to release a new section every few weeks, until it is novel-length.

It also has an afterword by thrilleromedy bestseller Jeff Strand.

When Talon hit the Save and Publish button on KDP, a big smile on his face, I thought about how extraordinary the publishing world has become.

I got my first rejection letter at 18, and wound up garnering more than 500 of them, trying to break into this industry.

Newbie writers, who never worked in the legacy world, have no idea how good they have it right now. It took me a decade of trying to impress the gatekeepers before I got a break. Those were hard, depressing, years where I busted my ass. And then once I finally got published, I spent eight more hard, depressing years busting my ass. I've signed books at over 1200 bookstores in 43 states. I've been to dozens of writing conventions, conferences, and book fairs. When this blog began, I was known as the king of self-promotion, and I spent more of my work week marketing than writing, all while trying to make ends meet with the little amount of money I was making.

In eight years, I made about $350,000 writing. That's about $40k a year, and I spent a lot of that on travelling.

Since 2009, I've made $1.6 million by self-publishing. Not only has it been gratifying, but it's been a lot more fun, and a lot less work, than my legacy years.

Talon makes $40 a week, picking up dog poop. He turns 16 in October, and is looking to buy a car with the money he's been saving for years, and he has talked often about supplementing his allowance with a fast food job in order to get gas money.

If GRANDMA? sells as well as my other short stories, it should make between $2k and $6k a year. But we anticipate there being five parts, all 99 cents, and then that'll be a book we'll sell for $3.99.

I've never done YA before, and I've never done a serial novel released in installments before, and I don't know if the zombie genre still has juice in it, so I don't know how well GRANDMA? will do. But if the series does modest business, Talon has a shot of making more than $40 a week. With a little luck, he could make a few hundred a week. At 15 years old.

Now he obviously has an advantage having me as a father and a co-writer. But if Amazon and Kindle didn't exist, I wouldn't be able to offer him that advantage.

It truly is the best time in history to be a writer. The are no longer any boundaries. You can work with whomever you want to, at your own speed, get paid monthly, write about anything you want, do very little marketing, and still reach readers.

During September, I'll also be releasing nine Jack Daniels tie-in stories, written by writers who followed my franchise guidelines. By 2014 I hope to have several new Jack Daniels novels, written by other writers, self-pubbed and earning.

As writers, we can do whatever we want to. We're only limited by our imaginations.

What an amazing, incredible time to be alive. How lucky we all are.

Guest Post by Kay Bratt

I self-published before self-publishing was cool.

Just like many wanna-be published writers years ago, I had queried literary agents to represent my memoir and received nothing but rejections. But tenacity is a long-ingrained trait and I was not to be deterred. I self-published my memoir in 2009. 

Luckily, because I’d been active in online communities and had somewhat of a reputation in my field, within a few weeks, my memoir titled Silent Tears gained traction in the top 300 of all Amazon e-books. There it garnered the attention of Amazon Publishing and they offered to make me one of their very first published authors.

At first I was skeptical because I was unaware that Amazon had a publishing side. When I educated myself that it was legitimate, I was still unsure if it would benefit me long term. I reached out to a well-known agent for confirmation, then signed with her to negotiate my contract. Through her experiences in the business, I realized that Amazon Publishing was offering a fair royalty split, the perk of a marketing manager, and use of a top notch designer team for packaging. Even back then I also understood that Amazon was a machine that could reach thousands more readers than I ever could hope to on my own.

My memoir, Silent Tears; A Journey of Hope in a Chinese Orphanage, was re-launched by AmazonEncore in 2010 and even held spots in the Top 50 of Amazon’s Top 100 Paid in Kindle Store lists in Amazon US and UK. Eventually, the print rights were sub-licensed by Houghton-Mifflin-Harcourt and the books have even made it into a few bookstores and hundreds of libraries across the nation and sold well over 60,000 copies.

As I worked hard to keep the buzz going on my book, I received a reality jolt when my local bookstore owner called and asked me to remove the first editions of my book from her store. She’d read about my re-launch by the Big Bad Wolf, a.k.a. Amazon Publishing, and basically said I was sleeping with the enemy.  

Moving on, I spent a few years promoting Silent Tears and over time, with the increase of more websites and bloggers drawing attention to my memoir, I noticed my platform getting bigger and my sales increasing substantially. To continue building my readership, I made sure during that time (and still do) to respond to every reader email, letter, statement, or request. I also began speaking at different venues about my experiences in China.

A few years later, I wrote my first fiction book and submitted it to Amazon Publishing. I was excited about launching a novel with them, as they’d begun to really make a name for their publishing arm. They were introducing new imprints at a rapid fire rate, and I was sure with their power, they’d make my book a success. So far, they’d proved to be just what they’d offered—a partnership with me. I was impressed and wanted more. When they declined the novel, I spiraled into an abyss of self-doubt.

But only for a few minutes.

At that time, the self-publishing stigma was starting to fade and a new breed of authors calling themselves Indies were suddenly releasing new material and even work they’d always hoped to see published, but hadn’t been successful with placing. Again, I self-published the book, titled Chasing China.

At that time, Indie publishing was taking off and authors were hitting what they called the Indie Gold Rush. Determined to prove I could write something else Amazon Publishing would want to represent, I penned another book and again submitted it to Amazon. This one, A Thread Unbroken, was a novel woven around the tragedy of child-bride trafficking in China that required months of research. But my self-confidence was restored when my Amazon editor offered me a contract. In 2012, the book launched, and by then I’d already submitted yet another title to Amazon Publishing, this time a novella of shorter length. Because of the length, I thought for sure they’d decline it, and again planned to immediately self-pub upon their rejection.

Instead, my Amazon editor said he loved the novella but wanted me to dig deeper and expand it to novel length. With his words of encouragement, I was more excited than I’d ever been about any project. He gave me ideas on how to take the story from good to great, and I hung up and got to work.

Four months later when I submitted not just one expanded novel for review, but two—with an outline for a third in the series. He took a few weeks to review my proposed series, then came back with the good news that Amazon Publishing would like to offer me a 3-book deal and a very healthy advance for my series titled The Tales of The Scavenger’s Daughters.

Shocked speechless at first, I accepted their deal, then immediately left my corporate position to focus full time on advocating for children and writing.

When I finished the rough drafts of all three novels, I rewarded myself and my husband with a few days of sun on a balmy Mexican beach. There I sat back and realized that for the first time in my life, royalties as well as a boost from my advances had brought me in well over six-figures for the year. I’d been slogging at it for more than half a decade, writing guest posts, articles, sending out review copies, tweeting, Face-booking, speaking events, blogging and basically doing anything and everything to widen my audience, or as they say in the business—build my platform. I was receiving decent royalty checks all along, but I’ll admit, passing those magical digits made me feel like I was on top of the world.

Between drafts of the series, I’ve started work on book four for the series. I also have a rough draft of book one of a new series I’ve kept under wraps. I’ll submit both to Amazon Publishing and if the so-called Big Bad Wolf wants a bite, I’ll gladly don a little red cape and hand them over. After all, Amazon Publishing might be getting a piece of the pie, but there’s plenty left over to satisfy my appetite. In other words, I can’t imagine that I’d have been happier with any other publisher than I’ve been with Amazon Publishing. They’ve done all they’ve promised me as an author and more.  

For other struggling authors out there, I would give this piece of advice: Find something you’re passionate about and make that your niche/genre. Be an expert in your subject. Do research, take field trips, and learn all you can about it. They always say write what you know….but I’ll take that a step farther and say write what you love. Communicate in depth with your readers, and if you don’t find success with your first book(s), just keep writing until you get there.

Guest Post by Amy Padgett

Research, Who Needs It?

First, let me thank Joe for this opportunity. Thanks, man. I appreciate it.

Now, for those with short attention spans, here’s the answer: you do. If you want to be successful, you need to know how to verify information and do basic research, particularly if you are a writer. Authors like Tess Gerritsen and Aaron & Charlotte Elkins are a great examples of writers who really do their research and it shows in their extremely successful books. The depth of research enhances the storyline and makes the characters’ actions and milieu absolutely believable. They may change/exaggerate a few things for the purposes of plot, but generally, you get a feeling of veracity that is hard to beat.

For some of you, this may be good news because you love to do research. Unfortunately, you’re also in the group that can get so involved in research that you never actually write or finish your book. For others, you might be running to the bathroom to get rid of your breakfast because of your panic-inducing memories of school. You can’t imagine anything worse and don’t want to destroy your creativity by letting the facts get in the way of your writing.

Rejoice: there are ways to handle both over-research and under-research and still get your book (or any other project) done. Part of the method is to use J.I.T. which means “just in time,” a principle I learned when working on software for managing manufacturing.

But let me back up for a minute and give you a little more incentive to make a stab at research. As a relatively unknown writer, I’ve spent a lot of time analyzing the books that are successful for bestselling authors because frankly, who doesn’t want to have their next book be a bestseller? And the one thing that I’ve noticed across the board is the amount of research that the big name authors put into their books. Of course, I’m assuming that these authors are not simply experts after years of experience in the particular field(s) touched on in their books.

“But, I’m writing fiction!” you might say. “I don’t need to do a lot of research.” Unfortunately, there are virtually no scenarios where doing a bit of research would not help. For example, do any of your characters use weapons like guns? What do you know about guns? Have you ever actually loaded or fired one? If not, you might want to at least verify that your character using a Winchester Model 1873 carbine can have up to fifteen .44-40 center fire cartridges in the tube magazine. Such details can either immerse your reader into the story or throw them right out of it. Trust me, some of your readers are going to know about such things and will not hesitate to point them out in reviews.

Whether that convinces you to verify the details in your story or not, there are ways of managing your research to make it easier. It can generally be broken into a two-step process: basic and J.I.T.

Basic Research

Basic research is where the research-loving writers can get lost and never find their way back out. If you’re lucky (like me) you have a built-in sensor that begins to go off when you’ve “done enough” and need to get on with the task. If not, set yourself a limit: say two weeks. For folks who hate to research, setting a limit can help because come what may, you know you can get on with writing after that point.

What is basic research? That’s your world-building research. If you write mysteries with a great deal of forensic detail, you may focus on a question like: “What forensics does my detective use to solve this mystery?” You don’t need to learn the entire field, you just need to learn the timelines and procedures for that specific area of forensics. If it is bugs infesting a corpse left in a swamp in North Carolina, then your research might include the succession (timeline) and expected evidence of bugs present in that location.
You may also need to include at least an overview of the law enforcement timeline, i.e. who gets called in (sheriff? State Bureau of Investigation?) and what are their procedure entails in the case of murder? A call to your local law enforcement office can get you a contact for details and they are usually thrilled to help writers.

For historicals such as I write, you also need to know what is going on with Society at the time. How do people live? Dress? What do they eat? I’ve found that I can purchase old, tattered books and magazines as source material (for example, I bought a “Constable’s Handbook” from Abe Books for one of the eras I’ve written about and it helped me with both The Vital Principle and The Unwanted Heiress). And now, it’s even easier to get great source material with Google Books. You can download everything from old medical texts to magazines that are out of print and free if you are writing about historical eras at least 100 years in the past.

J.I.T.

J.I.T. is what you use when you’re deep in your writing. In manufacturing, it costs money and storage space to have parts on hand, so many industries use software to track what they have, the rate of usage and to order what they need just in time to use it rather than storing/investing in large quantities months in advance.

That’s what you’re going to do as a writer. You’re going to get what you need, when you need it. The Internet is perfect for this. Use tightly focused queries (e.g. Winchester 1873) and don’t get sidetracked. You want to get back to writing within 10 minutes. But note: verify anything you look up with at least two sources (and make sure they don’t use the same wording which might indicate one site simply copied the info from the other site).

I started using J.I.T. when I found that “marking” a place where I needed to verify/find some fact didn’t work (at least for me). It was harder to force myself to look up the information after I had finished the book than at the time of writing. Not only that, but I found on more than one occasion that what I thought the answer would be was incorrect and it messed up the subsequent plot points, forcing me to rewrite more than I would have if I had just looked it up at the time.

It’s hard to include this type of information in your basic research, because you may not know before you start writing exactly what facts your story will require. You can think of “basic research” as the story’s ambiance and overall plot design, with J.I.T. research being the details.

So now, whenever I hit a point where I need information, e.g. how many cartridges does that Winchester’s magazine hold; or did they have Merlot wine in England in 1819, I use J.I.T. and look up that one fact and move on with the story. Then I can be assured that if other plot points rest upon that fact, the story won’t be derailed because of my ignorance (assuming I don’t decide to ignore inconvenient facts for some plot purpose).

That’s it. I hope this convinces you that research doesn’t have to be onerous or so all-consuming that you forget to write your book. You can do it. Really. You can.
